Pour ce faire, deux outils juridiques sont souvent mobilis\u00e9s : la clause de confidentialit\u00e9 et la clause de non-concurrence. Si elles poursuivent un objectif commun de protection, leur port\u00e9e, leur dur\u00e9e et leurs implications sont tr\u00e8s diff\u00e9rentes. Alors comment les articuler efficacement ? Et surtout, comment les r\u00e9diger sans courir le risque d\u2019ill\u00e9galit\u00e9 ?<\/p>\n<p data-start=\"201\" data-end=\"699\"><span style=\"color: #666666; font-size: 1.625rem;\">Clause de confidentialit\u00e9 : prot\u00e9ger l\u2019information strat\u00e9gique<\/span><\/p>\n<p data-start=\"768\" data-end=\"954\">La clause de confidentialit\u00e9 a pour objectif d\u2019emp\u00eacher un salari\u00e9 (ou un partenaire) de <strong data-start=\"857\" data-end=\"897\">divulguer des informations sensibles<\/strong> pendant et apr\u00e8s l\u2019ex\u00e9cution du contrat. Elle concerne :<\/p>\n<ul data-start=\"956\" data-end=\"1134\">\n<li data-start=\"956\" data-end=\"998\">\n<p data-start=\"958\" data-end=\"998\">Les donn\u00e9es techniques ou commerciales ;<\/p>\n<\/li>\n<li data-start=\"999\" data-end=\"1039\">\n<p data-start=\"1001\" data-end=\"1039\">Les fichiers clients ou fournisseurs ;<\/p>\n<\/li>\n<li data-start=\"1040\" data-end=\"1088\">\n<p data-start=\"1042\" data-end=\"1088\">Les projets de d\u00e9veloppement ou de recherche ;<\/p>\n<\/li>\n<li data-start=\"1089\" data-end=\"1134\">\n<p data-start=\"1091\" data-end=\"1134\">Toute information strat\u00e9gique non publique.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"1136\" data-end=\"1251\">Elle peut \u00eatre incluse dans tout type de contrat : contrat de travail, contrat de prestation, pacte d\u2019actionnaires\u2026<\/p>\n<p data-start=\"1253\" data-end=\"1365\">\ud83d\udca1 <strong data-start=\"1256\" data-end=\"1318\">Aucun versement d\u2019indemnit\u00e9 n\u2019est requis pour cette clause<\/strong>, contrairement \u00e0 la clause de non-concurrence.<\/p>\n<p data-start=\"1367\" data-end=\"1630\">Cependant, pour \u00eatre valable, la clause doit \u00eatre <strong data-start=\"1417\" data-end=\"1439\">clairement r\u00e9dig\u00e9e<\/strong>, proportionn\u00e9e et <strong data-start=\"1458\" data-end=\"1522\">ne pas avoir pour effet d\u2019interdire au salari\u00e9 de travailler<\/strong> dans son secteur : elle ne doit porter que sur la divulgation d\u2019informations, pas sur l\u2019activit\u00e9 elle-m\u00eame.<\/p>\n<h2 data-start=\"1632\" data-end=\"1692\">Clause de non-concurrence : encadrer le d\u00e9part du salari\u00e9<\/h2>\n<p data-start=\"1694\" data-end=\"1967\">La clause de non-concurrence vise \u00e0 <strong data-start=\"1730\" data-end=\"1823\">emp\u00eacher un salari\u00e9 de travailler pour un concurrent ou de cr\u00e9er une activit\u00e9 concurrente<\/strong> apr\u00e8s la rupture du contrat. Elle est plus contraignante juridiquement et doit r\u00e9pondre \u00e0 <strong data-start=\"1914\" data-end=\"1947\">quatre conditions cumulatives<\/strong> pour \u00eatre valable :<\/p>\n<ul data-start=\"1969\" data-end=\"2213\">\n<li data-start=\"1969\" data-end=\"2050\">\n<p data-start=\"1971\" data-end=\"2050\">\u00catre <strong data-start=\"1976\" data-end=\"2048\">indispensable \u00e0 la protection des int\u00e9r\u00eats l\u00e9gitimes de l\u2019entreprise<\/strong> ;<\/p>\n<\/li>\n<li data-start=\"2051\" data-end=\"2102\">\n<p data-start=\"2053\" data-end=\"2102\">\u00catre <strong data-start=\"2058\" data-end=\"2100\">limit\u00e9e dans le temps et dans l\u2019espace<\/strong> ;<\/p>\n<\/li>\n<li data-start=\"2103\" data-end=\"2145\">\n<p data-start=\"2105\" data-end=\"2145\">\u00catre <strong data-start=\"2110\" data-end=\"2143\">proportionn\u00e9e au poste occup\u00e9<\/strong> ;<\/p>\n<\/li>\n<li data-start=\"2146\" data-end=\"2213\">\n<p data-start=\"2148\" data-end=\"2213\">Donner lieu \u00e0 une <strong data-start=\"2166\" data-end=\"2212\">contrepartie financi\u00e8re r\u00e9elle et s\u00e9rieuse<\/strong>.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2215\" data-end=\"2463\">La Cour de cassation annule r\u00e9guli\u00e8rement les clauses qui ne respectent pas ces crit\u00e8res. Le montant de la contrepartie financi\u00e8re ne peut \u00eatre symbolique, et doit \u00eatre <strong data-start=\"2384\" data-end=\"2420\">vers\u00e9 apr\u00e8s le d\u00e9part du salari\u00e9<\/strong>, sauf renonciation expresse et formalis\u00e9e.<\/p>\n<h2 data-start=\"2465\" data-end=\"2533\">Confidentialit\u00e9 et non-concurrence : deux clauses, deux finalit\u00e9s<\/h2>\n<p data-start=\"2535\" data-end=\"2643\">Il est courant de cumuler ces deux clauses dans un m\u00eame contrat. Encore faut-il bien distinguer leur objet :<\/p>\n<ul data-start=\"2645\" data-end=\"2788\">\n<li data-start=\"2645\" data-end=\"2702\">\n<p data-start=\"2647\" data-end=\"2702\">La <strong data-start=\"2650\" data-end=\"2679\">clause de confidentialit\u00e9<\/strong> emp\u00eache de divulguer ;<\/p>\n<\/li>\n<li data-start=\"2703\" data-end=\"2788\">\n<p data-start=\"2705\" data-end=\"2788\">La <strong data-start=\"2708\" data-end=\"2737\">clause de non-concurrence<\/strong> emp\u00eache de travailler ailleurs ou de concurrencer.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2790\" data-end=\"3030\">La premi\u00e8re peut durer <strong data-start=\"2813\" data-end=\"2829\">ind\u00e9finiment<\/strong>, tant qu\u2019elle ne porte pas une atteinte excessive \u00e0 la libert\u00e9 du travail. La seconde, en revanche, <strong data-start=\"2930\" data-end=\"2974\">doit toujours \u00eatre limit\u00e9e dans le temps<\/strong> (souvent 12 \u00e0 24 mois) et <strong data-start=\"3001\" data-end=\"3029\">compens\u00e9e financi\u00e8rement<\/strong>.<\/p>\n<p data-start=\"3032\" data-end=\"3368\">Un bon contrat distingue clairement les deux, en \u00e9vitant les chevauchements inutiles ou les formules floues du type : \u00ab le salari\u00e9 s\u2019engage \u00e0 ne pas utiliser ou diffuser les informations obtenues \u00e0 des fins concurrentielles \u00bb. Cette formulation hybride pourrait \u00eatre requalifi\u00e9e en clause de non-concurrence d\u00e9guis\u00e9e\u2026 sans contrepartie.<\/p>\n<h2 data-start=\"3370\" data-end=\"3422\">Conseils pour une r\u00e9daction efficace et opposable<\/h2>\n<p data-start=\"3424\" data-end=\"3494\">Pour s\u00e9curiser vos clauses, voici quelques recommandations concr\u00e8tes :<\/p>\n<ul data-start=\"3496\" data-end=\"4061\">\n<li data-start=\"3496\" data-end=\"3582\">\n<p data-start=\"3498\" data-end=\"3582\"><strong data-start=\"3498\" data-end=\"3580\">Sp\u00e9cifiez pr\u00e9cis\u00e9ment les informations vis\u00e9es par la clause de confidentialit\u00e9<\/strong> ;<\/p>\n<\/li>\n<li data-start=\"3583\" data-end=\"3701\">\n<p data-start=\"3585\" data-end=\"3701\"><strong data-start=\"3585\" data-end=\"3667\">D\u00e9finissez clairement la zone g\u00e9ographique, la dur\u00e9e et le champ d\u2019application<\/strong> de la clause de non-concurrence ;<\/p>\n<\/li>\n<li data-start=\"3702\" data-end=\"3840\">\n<p data-start=\"3704\" data-end=\"3840\"><strong data-start=\"3704\" data-end=\"3765\">Pr\u00e9voyez une contrepartie financi\u00e8re suffisamment motiv\u00e9e<\/strong>, calcul\u00e9e en pourcentage du salaire ant\u00e9rieur (souvent entre 20 et 50 %) ;<\/p>\n<\/li>\n<li data-start=\"3841\" data-end=\"3961\">\n<p data-start=\"3843\" data-end=\"3961\"><strong data-start=\"3843\" data-end=\"3902\">Ins\u00e9rez une clause de renonciation \u00e0 la non-concurrence<\/strong>, activable \u00e0 la fin du contrat, pour plus de flexibilit\u00e9 ;<\/p>\n<\/li>\n<li data-start=\"3962\" data-end=\"4061\">\n<p data-start=\"3964\" data-end=\"4061\"><strong data-start=\"3964\" data-end=\"4018\">Ne cumulez pas des interdictions disproportionn\u00e9es<\/strong> : le juge annule l\u2019ensemble en cas d\u2019abus.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"4063\" data-end=\"4222\">Enfin, tenez compte du contexte : les clauses valables pour un cadre dirigeant ne seront pas identiques \u00e0 celles d\u2019un commercial ou d\u2019un technicien sp\u00e9cialis\u00e9.<\/p>\n<h2 data-start=\"4224\" data-end=\"4278\">Deux clauses \u00e0 manier avec pr\u00e9cision<\/h2>\n<p data-start=\"4280\" data-end=\"4547\">Confidentialit\u00e9 et non-concurrence ne doivent pas \u00eatre confondues.
